These Terms of Service ("Terms") govern your access to and use of the websites, applications, digital tools, SMS experiences, AI-powered agent interactions, and related services provided by Drive Solutions LLC ("Drive Solutions," "we," "us," or "our") (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated into these Terms by reference.

If you do not agree, you must discontinue use of the Services.

1. Eligibility & Use of the Services

You must be at least 18 years old to use the Services. You agree to:

• Use the Services only for lawful purposes;
• Provide accurate and complete information;
• Not interfere with or disrupt the operation of the Services.

We may suspend or terminate access at our discretion for any reason, including violation of these Terms.

2. Communications Consent

By providing your contact information or using the Services, you agree that:

You expressly authorize Drive Solutions to contact you via:

• SMS/text message
• Email
• Phone calls
• Automated or AI-generated communications
• Push notifications
• In-app or web-based messages

This consent applies to both transactional and marketing communications and remains valid unless and until you explicitly opt out.

You acknowledge that:

• Messages may be sent using automated technology;
• Standard messaging and data rates may apply;
• Opting out of marketing communications does not stop transactional or servicing communications.

3. No Financial, Legal, or Insurance Advice

Drive Solutions provides educational content, product information, and AI-assisted guidance. We are not a financial advisor, legal advisor, insurer, or warranty administrator.

Any recommendations or suggestions provided by our AI or the Services are for informational purposes only and should not be considered:

• Legal advice
• Financial or budgeting advice
• Insurance underwriting decisions
• Guarantees of eligibility, coverage, or pricing

Final decisions regarding coverage, pricing, and terms are made exclusively by the participating warranty administrator (e.g., AGWS).

4. Product Information & Eligibility

The Services may present:

• Pricing
• Product descriptions
• Eligibility windows
• Estimated rates
• Recommendations

All such information is subject to change, and no offer of coverage is binding until accepted by the applicable warranty administrator.

Drive Solutions is not responsible for:

• Final pricing or eligibility decisions
• Changes in coverage terms
• Denials of coverage
• Dealer or administrator errors

5. Data Usage & Enrichment Consent

By using the Services, you authorize Drive Solutions to:

• Collect, store, analyze, and process your information;
• Enrich your data using third-party sources, dealer feeds, warranty administrator data, or public/commercial data;
• Generate derived insights, probability scores, or eligibility indicators;
• Retain and use enriched or derived data for business operations, analytics, and product improvement;
• Share information with participating dealers, warranty administrators, and business partners as described in our Privacy Policy.

You acknowledge that some insights or recommendations may be generated using automated systems, algorithms, or AI models.

6. User Accounts

If the Services require account creation:

• You must maintain accurate information;
• You are responsible for maintaining the confidentiality of your credentials;
• You are responsible for all activity under your account.

We may disable or terminate accounts at our discretion.

7. Intellectual Property

The Services—including all software, AI models, content, trademarks, logos, graphics, designs, and data—are owned by Drive Solutions or our licensors.

You may not:

• Copy, reproduce, or distribute any part of the Services;
• Reverse engineer, scrape, or extract data from the platform;
• Use our trademarks without permission;
• Interfere with or attempt to bypass security controls.

Limited, revocable permission is granted to access the Services for personal, non-commercial use only.

8. Prohibited Conduct

You agree not to:

• Use the Services for fraudulent, illegal, or harmful purposes;
• Misrepresent your identity or vehicle ownership;
• Attempt to extract system data, proprietary information, or AI outputs for competitive purposes;
• Interfere with service functionality or infrastructure;
• Attempt to gain unauthorized access to the platform or its systems.

We reserve the right to monitor and investigate violations and to pursue legal remedies as needed.

9. Third-Party Partners & Links

The Services may integrate or link to:

• Participating dealers
• Warranty administrators (e.g., AGWS)
• Third-party service providers
• External websites or tools

Drive Solutions is not responsible for third-party content, decisions, pricing, or policies.

All warranties, coverages, and claims processes are governed solely by the applicable warranty administrator's terms.

10. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, Drive Solutions disclaims all warranties, express or implied, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, completeness, or reliability of information

We do not guarantee that:

• Product recommendations are accurate;
• Pricing or eligibility will remain consistent;
• The Services will be error-free or uninterrupted.

11. Limitation of Liability

To the maximum extent permitted by law:

• Drive Solutions is not liable for indirect, incidental, consequential, special, or punitive damages, including loss of data, profits, or business opportunities.
• Our total liability in any claim relating to the Services is limited to the amount you paid to use the Services, or $50, whichever is greater.

You agree to release Drive Solutions from all claims arising from:

• Dealer errors or misrepresentations;
• Warranty administrator decisions;
• Denials of coverage or claims;
• Inaccurate pricing, rate quoting, or AI-generated recommendations.

12. Indemnification

You agree to indemnify, defend, and hold harmless Drive Solutions and its officers, directors, employees, agents, affiliates, and partners from any claims, liabilities, damages, losses, or expenses (including attorneys' fees) arising from:

• Your use of the Services;
• Your violation of these Terms;
• Your interactions with dealers, warranty administrators, or external sites;
• Your negligent or unlawful conduct.

13. Termination

We may suspend or terminate your access at any time without notice, including for violations of these Terms or misuse of the Services. All provisions that should reasonably survive termination do survive, including intellectual property rights, disclaimers, limitations of liability, and indemnification.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules.

Any disputes shall be resolved through:

1. Informal negotiation, followed by
2. Binding arbitration under the rules of the American Arbitration Association ("AAA")

You waive any right to:

• A jury trial
• Participate in a class action or class arbitration

15. Changes to These Terms

We may update these Terms at any time. Updated Terms are effective immediately upon posting to the Services. Your continued use constitutes acceptance of the updated Terms.
